Conditions

§1 Activity
The contractor undertakes to provide the service properly and professionally. He is committed to the standards and positions of the German Societies for Supervision e.V. (DGSv).


§2 Participation of third parties in the contract
The client undertakes to appropriately involve the persons named by him who will use the consulting service in the conclusion of this contract.


§3 Confidentiality, storage and return of documents, inspection
(1) The contractor undertakes to use all business and trade secrets and other business or operational facts that become known to him during his work only within the scope of his work for the client. In order to pass on or disclose such information, the contractor requires the prior written consent of the client.
 
(2) The contractor undertakes to maintain secrecy about the content of the supervision with the people named by the client. However, if the supervision touches on things that affect the structures, tasks and responsibilities of the overarching organization, an exception must be made to the obligation of confidentiality in the following sense: confidentiality on a personal level and openness on a structural level. This agreement applies in particular to feedback discussions with management.


(3) The client provides the contractor with all information and documents necessary to carry out his work. The client reserves the right to only grant the contractor access to this matter.


(4) The contractor undertakes to properly store all business or operational documents provided as part of his consulting work, so that third parties in particular cannot inspect them.


(5) Immediately after termination of this contract, the contractor must hand over to the client all documents and materials that he is obliged to keep in accordance with §3, (4).

 


§4 Payment deadline
The invoice amounts are payable without deductions within 14 days.

 


§5 Temporary prevention of the contracting parties
(1) If the client or the persons named by him cancels an agreed appointment less than 48 hours before it begins, the full fee is due as a cancellation fee if no alternative date can be found. Appointments canceled less than 24 hours in advance must be paid in full.


(2) If the contractor cancels a consultation appointment, he must immediately announce a new appointment.

 


§6 Withdrawal

If the client withdraws from the entire contract less than 14 days before the first consulting/training unit, a one-off cancellation fee of 10% of the contract value will be charged.

 


§7 Subsidiary agreements and contract changes
There are no oral additional agreements at the time the contract is concluded. Changes and additions to this contract must be made in writing to be effective.

 


§8 Jurisdiction
The place of jurisdiction is the contractor’s place of residence.

 


§9 Severability clause
If individual provisions of this contract are ineffective, this does not result in the invalidity of the remaining provisions of the contract.

 


§10  Choice of law
This contract is subject to the law of the Federal Republic of Germany.
